What was announced

Dwellcons Ltd, a wholly owned subsidiary of Arihant Superstructures Ltd, has entered a Hotel Management Agreement with ITC Hotels Ltd. Under the deal, ITC Hotels will run a 227-room, 44-suite five-star hotel under its Mementos luxury brand. ITC Hotels announced the signing on 14 October 2026. As of 5 November 2026, the hotel is at the agreement stage and no construction is reported to have started.

Arihant Superstructures is entering hospitality through this deal. Its earlier business has been residential development in the Mumbai Metropolitan Region and Jodhpur.

Where the hotel is planned

The reports give two locations for the same project. The company's filing refers to Chowk, Mumbai 3.0. ITC's announcement and a hotel trade report place the resort in Karjat, Raigad district, within the World Villas project. Chowk lies between Panvel and Karjat on the Panvel–Karjat corridor, so both labels point to the same general area. No postal address has been published.

The hospitality component occupies 10 acres (about 4 hectares) within World Villas, a 90-acre (about 36-hectare) residential project that Arihant is developing at Chowk.

What the resort is planned to include

ITC says the resort will serve leisure travellers, destination weddings, wellness retreats and corporate gatherings.

One trade report describes the banqueting space as the largest in the city. This is a single-source claim and is not confirmed by ITC or Arihant.

Who does what

The structure follows a common model in hotels. The developer builds and owns the property. ITC Hotels operates it under a management contract and applies its brand. Anil Chadha, managing director of ITC Hotels Ltd, said the signing reflects the company's commitment to expanding its portfolio in high-potential leisure destinations. Ashok Chhajer, chairman and managing director of Arihant Superstructures Ltd, spoke about the Karjat setting in the company's statement.

A 2024 company presentation described a 221-key hotel on 9 acres, with a term sheet signed with Indian Hotels Company Limited (IHCL) for hotel management. The final management deal is with ITC Hotels.

Dates and conflicting reports

Reports differ on when the agreement was signed. One account gives 24 September 2026 as the signing date. Another says the agreement was formalised as part of the business of the company's board meeting on 3 November 2026. ITC's public announcement followed on 14 October 2026.

The hotel has no announced opening date. Arihant expects around three years of construction and development.

Company results and debt

At the same 3 November 2026 board meeting, Arihant approved unaudited results for the quarter and half year ended 30 September 2026. For Q2 FY27, consolidated net profit was ₹10.55 crore, up 6.0% from a year earlier. Total income rose 9.1% to ₹134.69 crore. Revenue from operations rose 8.62% to ₹133.22 crore.

Reports give conflicting figures for the first half. One gives H1 consolidated revenue of ₹264.81 crore and profit after tax of ₹16.55 crore. Another gives H1 profit after tax of ₹20.33 crore, down 21.4% year on year. Readers should check the company's filed results for the exact figures.

On 23 October 2026, Arihant fully redeemed ₹70 crore of secured non-convertible debentures issued to India Real Estate Investment Fund Series 2. Total payment was ₹75.34 crore including interest. The redemption released mortgages on three projects.

Governance changes

The same board meeting approved a succession and leadership framework that includes a rotational leadership model. The board also approved a draft postal ballot notice. The filing summaries do not give the resolution details. Mr Pradeep Mehta was appointed as an Independent Director with effect from 23 October 2026.

The governance changes include a provision that caps new business investment at 10% of the company's implied fair value, calculated using a discounted cash flow method. The company describes this as a way to limit risk from diversification into new businesses.

What it means for buyers and investors

For home buyers, the hotel is not a residential sale. The agreement does not change terms for flat or villa buyers. World Villas is a separate residential project. The project website lists the villas as under construction, with 364 G+1 villas in 3 BHK and 4 BHK configurations. The website does not publish a villa price band or a possession date.

For investors, the deal adds a new category of revenue. Commentary on the deal describes it as a shift that uses the company's existing real estate footprint to build recurring income from hotel operations. No investment cost for the hotel has been reported, and no analyst has published a return estimate for it.

One trade report projects that the hotel could generate ₹150 to ₹200 crore a year once it reaches maturity, with an operating margin of 45%. This projection comes from a single source and has not been confirmed by ITC or Arihant, so it should be treated as an estimate.

Location context

Chowk is on the old Mumbai–Pune highway. The project website lists Morbe Dam at 6.1 km, Kharghar at 9.7 km, CBD Belapur at 12.3 km and Navi Mumbai Airport at 29 km. The Panvel–Karjat fourth railway line, with a Chowk station, was approved and reported to be scheduled for completion in December 2025. This article does not confirm its current status.
