What happened
On 22 October 2026, Mahindra Lifespace Developers Limited (MLDL) announced its unaudited standalone and consolidated results for the second quarter and half year ended 30 September 2026. The results were approved at a board meeting held the same day, which lasted from 11:48 a.m. to 1:50 p.m. The results were subjected to a limited review by the statutory auditors.
At the same meeting, the board acknowledged the resignation of Chief Legal Officer Parveen Mahtani. The company disclosed that the role is classed as senior management personnel, and that the resignation takes effect on 28 October 2026.
Profit fell while sales grew
Consolidated net profit for Q2 FY27 was Rs 16.34 crore, compared with Rs 47.91 crore in the same quarter a year earlier. The decline is about 65.9%. Consolidated total income for the quarter was Rs 104.02 crore, against Rs 33.06 crore a year earlier.
Sales moved in the opposite direction. Residential pre-sales for H1 FY27 reached Rs 1,988 crore, up 66% year on year. Q2 residential pre-sales were Rs 1,063 crore, up 41%. Consolidated sales, which include residential and IC&IC, were Rs 2,101 crore for H1 FY27, up 48%, and Rs 1,126 crore for Q2 alone, up 32%.
Consolidated profit after tax for H1 FY27 was Rs 102 crore, against Rs 99 crore in H1 FY26. Profit after tax for Q1 FY27 was Rs 86 crore.
Why the quarterly profit dropped
The company's results commentary points to tax expense as the main reason for the Q2 profit decline. Tax expense for the quarter was about Rs 33 crore. EBITDA was a loss of about Rs 55 crore in Q2 FY27, compared with a loss of Rs 52.4 crore in Q2 FY26.
The company recognises revenue under the completed-contract method in line with Ind AS 115. Under this method, revenue is recognised only after a project is completed, so reported profit can vary sharply from one quarter to the next even when sales are rising.
Leadership change
Parveen Mahtani joined Mahindra Lifespaces as Chief Legal Officer in July 2020 from Tata Realty and Tata Housing. She succeeded Suhas Kulkarni, who continued as general counsel. Her resignation was accepted on 22 October 2026 and takes effect on 28 October 2026.
The disclosures reported so far do not give a reason for the resignation. No successor has been named, and no date has been set for an appointment. The company's Managing Director and CEO, Amit Kumar Sinha, described the first half as strong, citing 66% growth in pre-sales. No separate statement from the CEO on the resignation has been reported.
Balance sheet and share capital
The company reported a net debt-to-equity ratio of -0.28 as of 30 September 2026, which means it remains in a net cash position. On 22 October 2026, the board also allotted 21,494 equity shares under the ESOS 2012 scheme. After the allotment, paid-up capital stands at Rs 213.43 crore.
What it means for buyers and investors
The results do not directly change any project's status, price or possession schedule. For buyers, the main signal is sales momentum: pre-sales rose strongly in both the half year and the quarter. For investors, the headline profit did not move in line with sales, and the company itself flagged tax as the swing factor.
- Revenue is recognised only on project completion, so quarterly profit is likely to stay uneven.
- The Chief Legal Officer vacancy is a governance change to monitor until a successor is appointed.
- Project completion timelines and further leadership changes are the items to track.
Upcoming launches
The results commentary lists several projects still to come. Rivenza in Mahalunge, Pune, is planned for early December 2026. WestEra in Santacruz is expected within two to three months. Sai Baba Nagar in Borivali is pending approvals. The company also plans two greenfield projects in the second half of FY27. These timelines are the company's own and remain subject to change.
