What happened

Mahindra Lifespace Developers Limited said its Committee for Investment/Land Appraisal approved the sale of its entire stake in four associate companies to Omega Warehouse Holdings 2 Limited. The committee approved the deal on 27 August 2026, and the sanction was issued under the SEBI Listing Regulations.

The company set a maximum consideration of Rs 80 crore. The original plan was to complete the sale by 31 December 2026 or on a mutually agreed date. The company's Q2 FY27 results, presented on 22 October 2026, already report the divestment of the Ample Parks Group as completed for Rs 76.52 crore.

The four entities and the buyer

The four entities are Ample Parks and Logistics Private Limited, Ample Parks Project 1 Private Limited, Ample Parks Project 2 Private Limited and Ample Parks MMR Private Limited. Once the transaction is completed, all four will cease to be associates of Mahindra Lifespaces.

A stock exchange filing dated 15 September 2026 confirmed that Ample Parks Project 1 Private Limited and Ample Parks Project 2 Private Limited had ceased to be associate companies.

The buyer, Omega Warehouse Holdings 2 Limited, is an affiliate of Actis, which is the majority partner in Ample Parks. Neither Omega nor Actis has publicly commented on the deal in the sources available, and no valuation basis or per-share price has been disclosed.

Background: the Ample Parks platform

In October 2022, Actis and Mahindra Lifespaces entered into a joint venture agreement. In August 2024 they formally launched Ample Parks as an Indian industrial and logistics real estate developer and operator.

Ample Parks' debut project is an industrial and logistics park at Mahindra World City (MWC) in Chennai. The park spans 71 acres and offers 2.1 million sq ft of leasable area near the Oragadam-Maraimalai Nagar (OMM) corridor. The company has described the investment as Rs 800 crore. The target segments are engineering, automotive, electronics and white goods.

No single development project is being sold. The four entities are vehicles within the Ample Parks platform.

Financial context from Q2 FY27 results

Mahindra Lifespace reported its Q2 FY27 results on 22 October 2026. Standalone profit for the quarter was Rs 127.43 crore, compared with a loss of Rs 24.51 crore a year earlier. The company said divestment gains and provision reversals supported the result.

Consolidated profit for Q2 was about Rs 16 crore, down from Rs 47.91 crore in the same period last year. H1 FY27 residential pre-sales were Rs 1,988 crore, up 66% from Rs 1,200 crore in H1 FY26. H1 consolidated sales were Rs 2,101 crore, up 48%.

The company's CFO said profits from the sale of its Ample Parks stake were reflected in the results. Commentary on the deal has described it as a capital-recycling move, a characterisation that comes from market analysts rather than the company.

What it means for buyers, investors and the market

For homebuyers: The deal involves industrial and logistics entities. It does not involve any residential project, and no home sales or unit prices were part of the announcement.

For investors: The sale removes a set of non-core associate holdings from Mahindra Lifespace's balance sheet and brings in cash. Investors should note that the consolidated profit figure for the quarter is lower than a year earlier, and the company's standalone figure was helped by divestment gains.

For the market: The deal marks Mahindra Lifespace's exit from the Ample Parks entities, leaving the platform under Actis-affiliated ownership. Industrial and logistics demand in Chennai is cited as a driver, with the company describing its Chennai site as the largest Grade-A industrial space currently available in the Domestic Tariff Area of Mahindra World City, and about 0.5 million sq ft ready for immediate lease.
