Rajendra Lodha's son moves Bombay HC over alleged coercive ₹4,000 crore asset transfer
Sahil Rajendra Lodha, son of former Lodha Developers promoter Rajendra Narpatmal Lodha, has asked the Bombay High Court to set aside a consent decree, alleging that the terms were coerced and required the family to give up assets worth more than ₹4,000 crore. These are allegations in a pending court application, not findings by the court.

What the application says
The application, filed by Sahil Lodha, seeks to set aside the consent decree in the family's dispute with Lodha Developers Limited. It alleges that Rajendra Lodha did not give his free consent when he executed the consent terms on 20 January 2026, and that he was in custody at the time.
The applicants also allege that the suit was never served on Rajendra Lodha before he signed the terms. They say Abhishek Lodha and the company pressured the family while Rajendra Lodha was in custody. The application accuses Abhishek Lodha of misusing his position as Managing Director and CEO to coerce his father and family into executing the terms.
Disputed terms
According to the application, the consent terms required the family to give up assets worth more than ₹4,000 crore. The application further alleges that the terms provide for the release of documents held in escrow if the defendants breach the terms.
One press report on the filing said the terms also required the family to pay ₹100 crore to the company and imposed restrictions on its activities. The LiveLaw report of the filing does not confirm this detail, so it should be read as a reported claim.
Criminal proceedings in the background
The Mumbai Police Crime Branch arrested Rajendra Lodha in September 2025, and he was in judicial custody before the Enforcement Directorate (ED) took formal action under the Prevention of Money Laundering Act (PMLA). An ED press release dated 30 March 2026 says the agency arrested him on 12 February 2026 and that he is remanded to judicial custody.
The ED alleges that Rajendra Lodha caused wrongful losses of more than ₹100 crore to the company by diverting funds and disposing of immovable properties without board approval. It also alleges he colluded with his son, Sahil Lodha, and several close associates to generate, conceal and launder proceeds of crime. These are the agency's allegations and have not been tested in court.
The application states that an FIR was registered on 22 October 2026 at NM Joshi Marg Police Station against Rajendra Lodha and others. The applicants say these further criminal proceedings breached the consent terms.
The ED has provisionally attached land parcels at Panvel and Shahapur talukas of Maharashtra, according to its 30 March 2026 press release. The ED says further investigation is under way.
Background to the dispute
The dispute stems from differences between Rajendra Lodha and Abhishek Lodha. It follows an earlier, separate fight between the brothers. In January 2025, Macrotech Developers, the company now called Lodha Developers, sued House of Abhinandan Lodha over the use of the Lodha trademark. The Bombay High Court later took on record a mediation report and consent terms between Abhishek and Abhinandan Lodha in April 2025, recording that Macrotech Developers has exclusive right to the Lodha and Lodha Group brand names.
Macrotech Developers was renamed Lodha Developers Limited effective 16 June 2025, after approval from the Ministry of Corporate Affairs. The company was founded in 1980 by Mangal Prabhat Lodha and listed on 19 April 2021 as Macrotech Developers. Abhishek Lodha is its CEO and Managing Director.
Company context
In the quarter ended 31 March 2025, Lodha Developers reported a 38.49% rise in consolidated net profit to ₹921.7 crore, compared with ₹665.5 crore in the same quarter a year earlier. Revenue from operations rose 5.12% year on year to ₹4,224.3 crore in that quarter.
What it means for buyers, investors and the market
The application is an allegation in a pending filing. No ruling has been made on whether the consent decree will be set aside.
Commentary on the case has raised questions about internal controls and corporate governance at the company. That is the view of the outlet that published it, not a finding by a regulator or court.
What comes next
The court is expected to decide whether to set aside the consent decree. No next hearing date for the interim application had been reported as of 1 November 2026. The ED says its investigation is continuing.
