What happened
Max Estates Limited, the real estate arm of the Max Group, said on 4 November 2026 that two proposals, read together, would take its gross pipeline value above ₹29,000 crore. The first is the acquisition of about 84.71 acres in West Delhi. The second is a joint development of 9.76 acres in Ghaziabad.
The company has said the proposals are not final. The West Delhi transaction requires shareholder and stock-exchange approvals. The Ghaziabad arrangement depends on due diligence, the required approvals, and execution of the JDA.
West Delhi: 84.71 acres in Najafgarh
On 28 August 2026, the board of Max Estates approved the acquisition of the entire ownership interest, including equity shares and outstanding compulsorily convertible debentures, in nine subsidiary companies that the filing collectively calls the "Land Owning Companies". Together these companies hold the 84.71-acre land platform in Sector 3, Najafgarh.
- Consideration: about ₹420.23 crore, to be paid through the preferential issue of up to 70,33,162 fully paid-up equity shares at ₹597.50 per share.
- Related-party element: about ₹379.12 crore of the consideration is attributed to related parties. Under SEBI Listing Regulations, this needs approval as a material related-party transaction.
- Development potential: the company expects 4–6 million sq ft of developable area and a revenue potential of ₹10,000–12,000 crore.
- Land cost: the company estimates the implied land cost at about ₹1,000 per sq ft, which it says is under 5% of expected GDV. It contrasts this with an indicative industry benchmark of 20–25% of GDV for land.
- Approvals needed: an extraordinary general meeting (EGM) scheduled for 24 September 2026, with remote e-voting from 21 to 23 September 2026, and in-principle approvals from BSE Limited and the National Stock Exchange of India before allotment.
The company has said the deal is structured as a share swap, so it does not use cash and keeps liquidity intact. A market analysis of the filing put promoter holding in Max Estates at about 45.3% now, which could rise to about 47.1% after allotment.
Ghaziabad: 9.76 acres in Indirapuram
The Ghaziabad parcel is about 9.76 acres in Indirapuram, along National Expressway-3, with a green buffer zone that overlooks the Hindon River. The company describes the arrangement as a binding memorandum of understanding (MoU). The final JDA has yet to be executed, and the arrangement remains subject to due diligence and approvals.
- Development: about 1.5 million sq ft of super built-up area.
- Estimated GDV: ₹2,500–3,000 crore, which depends on approvals and the final layout plan.
- Structure: capital-light. The landowner is to be paid through revenue sharing rather than an upfront cash payment, which the company says limits upfront land spend.
Max Estates shares rose about 6% on 24 September 2026 after the company announced the plan to enter into the JDA.
The company's sales and results
The announcements come alongside the company's Q2FY27 update. Pre-sales were about ₹2,100 crore in the quarter, up from ₹156 crore a year earlier. The company sold 274 units in Q2FY27, against 24 in Q2FY26. H1FY27 pre-sales were about ₹3,200 crore, and collections in the quarter were about ₹560 crore.

The company reported consolidated net profit of ₹4.68 crore in Q2FY27, down 40% year on year, and ₹13.03 crore for H1FY27, down 34%. Revenue from operations rose 8.2% to ₹52.76 crore in the quarter. Sahil Vachani, vice-chairman and managing director, said collections had doubled year on year and that the operational commercial portfolio is 100% occupied.
Before these two proposals, the company's disclosures referred to a remaining GDV pipeline of more than ₹16,150 crore, to be launched in phases from Q2 FY27 onward.
What it means for buyers, investors and the market
For home buyers: no launch has been announced at either site, so no prices, configurations or possession dates apply yet. The company has said it plans major launches in Noida and Gurugram in Q3 and Q4 of FY27. Those are separate from the two sites in this story.
For investors: both transactions are proposals. The West Delhi deal depends on related-party approval, shareholder approval and stock-exchange clearance. The Ghaziabad JDA depends on due diligence and execution. GDV figures are company estimates and depend on approvals and final layouts.
For the market: the filings add land to Max Estates' pipeline in two Delhi-NCR submarkets. Max Estates has not yet delivered a residential project, and its completed assets are three operational Grade A+ commercial properties.
Location context
- Najafgarh (West Delhi): the company says the parcel is served by Urban Extension Road-II and is within reach of the Delhi Metro Grey Line, the Dwarka Expressway, the Gurugram border and Indira Gandhi International Airport.
- Indirapuram (Ghaziabad): access to NH-9 and the Delhi–Meerut Expressway. The nearest metro stations cited are Vaishali on the Blue Line and Noida Electronic City. The company says Akshardham is about 15 minutes away by car.
