What was decided
The NCLAT upheld the bid of Suraksha Realty (also referred to as Suraksha Group) to acquire Jaypee Infratech Ltd (JIL), a debt-stressed realty firm under insolvency. The tribunal said the NCLT's approval of the resolution plan should stand, so that implementation would not face further delay and the interests of stakeholders, including homebuyers and YEIDA, would be protected.
The tribunal did not uphold YEIDA's larger farmers' compensation claim. It set aside the part of the NCLT order that dealt with YEIDA's claim of Rs 1,689 crore and instead directed the successful resolution applicant to pay 79% of that secured operational debt, which the order puts at Rs 1,334.31 crore.
Press reports generally round this to about Rs 1,300 crore or Rs 1,334 crore. The operative figure in the order is Rs 1,334.31 crore.
Decision context
The corporate insolvency resolution process (CIRP) against JIL began in August 2017, after an application by an IDBI Bank-led consortium. In the 2021 bidding round, Suraksha Group won 98.66% of committee of creditors votes, narrowly ahead of state-owned NBCC. The reported winning bid was Rs 7,736 crore against NBCC's Rs 6,536 crore.
The NCLT approved Suraksha's bid on 7 March 2023. YEIDA and Jaiprakash Associates, the original promoter, then filed petitions before the NCLAT challenging that approval. The NCLAT order of 24 May 2024 resolved those appeals in the form described above.
In the same order the tribunal noted that Suraksha had, on 18 April 2024, offered to pay Rs 1,216 crore toward additional compensation on a stated timeline.
Operative terms of the order
- The NCLT's approval of the resolution plan is upheld, except for the treatment of YEIDA's Rs 1,689 crore claim, which is set aside.
- The successful resolution applicant must pay YEIDA Rs 1,334.31 crore, calculated as 79% of the Rs 1,689 crore secured operational debt, the same ratio paid to other secured creditors.
- The payment is to follow the timeline and ratio in the offer dated 18 April 2024.
- The date of the order, 24 May 2024, is treated as the 'Approval Date' under the approved resolution plan.
No city boundaries, planning areas or per-acre rates are part of this order. The land figure reported separately (2,552 acres) relates to parcels identified for lenders under the resolution plan, not to a boundary or zoning decision.
Practical effect
The order removed the legal obstacle to implementing the plan. Suraksha Group took control of JIL on 4 June 2024 and constituted a three-member board. Sudhir V Valia (promoter of Suraksha Group) became a non-executive director, Aalok Champak Dave an executive director, and Usha Anil Kadam an independent director.
The resolution plan requires Suraksha to infuse equity into JIL to settle bank dues and complete unfinished flats. Reports say the group plans to finish about 20,000 unfinished flats across Delhi-NCR projects. The company also set a record date of 21 June 2024 for determining shareholders eligible for the exit price in the delisting process.
Payment to YEIDA is a condition the successful applicant must meet under the order. The status of that payment after the reporting dates below was not found in this research.
Status (as of the latest sources found)
- As of August 2024: YEIDA had appealed to the Supreme Court seeking more compensation. The outcome of that appeal was not found in this research.
- As of April 2025: Jaypee Infratech reported that Suraksha's takeover had been completed through the June 2024 board change, and the company's CEO said it would abide by the timeline committed in the resolution plan.
- Completion status: the reports reviewed describe plans and early steps (contracts for 41 stalled towers, work orders for others). They do not confirm that the 20,000 flats are complete.
